Terms of Service
Welcome to Techy Tek, a division of Richard Tech LLC ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, services, software, and related platforms (collectively, the "Services"). By using our Services, you agree to these Terms.
If you do not agree to these Terms, you may not access or use the Services.
1. Who We Are
Techy Tek is a Managed Service Provider (MSP) operated by Richard Tech LLC, offering IT solutions including but not limited to:
Network and infrastructure management
Cybersecurity services
Structured cabling and low-voltage installations
Helpdesk and IT support
Website development and cloud services
Backup and disaster recovery
2. Eligibility
You must be at least 18 years old to use our Services. By agreeing to these Terms, you confirm that you are legally authorized to enter into a binding contract.
3. Use of Services
You agree to use our Services only for lawful, authorized purposes and in accordance with these Terms. You shall not:
Access or attempt to access systems or data without permission
Use the Services for any fraudulent or harmful activity
Resell or sublicense our Services without our written consent
4. Client Responsibilities
Clients are expected to:
Provide accurate, timely information needed for service delivery
Keep credentials, access codes, and sensitive data secure
Ensure their systems meet any technical requirements we outline
Comply with applicable laws and regulations, including those governing data and technology
5. Service Level Agreement (SLA)
Service Level Agreements may be outlined in a separate agreement or your service contract. Unless stated otherwise, we do not guarantee uninterrupted service and are not liable for outages beyond our control, including power failures, ISP issues, or third-party disruptions.
6. Fees and Payment Terms
Fees are due based on your service agreement or invoice schedule. Late payments may result in service suspension and may accrue late fees or interest.
Clients are responsible for all applicable taxes unless an approved exemption is submitted.
7. Data Privacy and Security
We take security seriously and use industry-standard practices to protect client data. However, no system is infallible, and we cannot guarantee absolute protection.
Clients are responsible for their own compliance with any applicable data regulations (e.g., HIPAA, GDPR) unless explicitly covered in a written agreement.
8. Intellectual Property
All intellectual property provided by Techy Tek—including software, documents, systems, and processes—remains the property of Richard Tech LLC. Clients may not copy, distribute, or modify these materials without written permission.
9. Limitation of Liability
To the fullest extent permitted by law, Richard Tech LLC and Techy Tek will not be liable for indirect, incidental, special, or consequential damages, including lost profits, data loss, or service interruptions.
Any liability for direct damages is capped at the amount paid by the client for services in the twelve (12) months prior to the incident.
10. Termination
We reserve the right to terminate or suspend your Services at any time, with or without cause. You may terminate by written notice in accordance with your contract.
Obligations related to unpaid balances, confidentiality, and data handling will survive termination.
11. Changes to Terms
We may update these Terms periodically. When we do, we will update the "Effective Date" and notify users where appropriate. Continued use of our Services after any updates constitutes acceptance of the new Terms.
12. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of laws principles.
